These Terms of Service ("Terms") govern your access to and use of RetailGrid, provided by Retailgrid Oy ("RetailGrid," "we," "our," or "us"). By using our services, you agree to be bound by these Terms.

RetailGrid provides a cloud-based data workspace and AI-enabled tools for retailers to organize, enrich, analyze, and optimize product, pricing, and retail operations data. These Terms apply to all visitors, users, and customers accessing RetailGrid.

If you do not agree to these Terms, you may not use RetailGrid.

2. Eligibility

To use RetailGrid, you must:

Be at least 18 years old;
Have the legal authority to enter into binding agreements; and
Use the platform in compliance with these Terms and applicable laws.

3. Account Registration

You must create an account to access RetailGrid. You agree to:

We may suspend or terminate your account if we suspect any unauthorized use or violation of these

Terms.4. Subscription Plans & Billing

RetailGrid offers free and paid subscription plans.

4.1 Free Plan ("Freemium")

Includes limited functionality, data volume, and AI credits.

4.2 Paid Plans

Paid plans offer expanded functionality, row limits, integrations, AI credits, data retention, and support levels.

4.3 Billing & Payment

By subscribing to a paid plan, you authorize us to charge you recurring fees until you cancel.
Fees are billed monthly or annually in advance.
Prices may be updated with prior notice.
All payments are non-refundable unless required by law.

4.4 Taxes

You are responsible for any applicable taxes, duties, or VAT.5. Use of the Service
You agree not to:
Misuse the platform or interfere with its operation;
Attempt to access systems without authorization;
Use RetailGrid to process unlawful or harmful content;
Reverse-engineer, scrape, or extract data outside permitted use.
We reserve the right to restrict access to the platform to maintain performance and security.

6. Data & Privacy

You retain all rights to the data you upload ("Customer Data"). You grant RetailGrid a limited license to process, store, and analyze your data solely for providing the service.

We implement industry-standard security measures to protect Customer Data. However, no system is 100% secure.

Your use of RetailGrid is also governed by our Privacy Policy, which explains how your data is collected and processed.

7. AI Features

RetailGrid provides AI-powered features, including enrichments, predictions, workflows, and optimization.

By using these features, you acknowledge that:

AI outputs may not be accurate or appropriate for all situations;

You are solely responsible for reviewing and validating AI-generated content or recommendations;
RetailGrid is not liable for decisions made based on AI outputs.

8. Integrations & Third-Party Services

RetailGrid may include integrations with third-party platforms such as Shopify, Google Shopping, data providers, and external APIs.

RetailGrid is not responsible for:

Third-party service availability;
Data accuracy or reliability from external sources;
Costs or usage limits imposed by third parties.
Your use of external services is governed by their respective terms.

9. Intellectual Property
All RetailGrid software, trademarks, logos, and content are owned by RetailGrid or licensed to us.

You may not:
Copy, modify, or distribute any part of RetailGrid;
Use our branding without written permission.10. Termination
We may suspend or terminate your account if you:
Violate these Terms;
Fail to pay subscription fees;
Create risks or legal exposure for RetailGrid.
You may cancel your subscription at any time, but no refunds are provided.
Upon termination, your access to the platform will end, and your data may be deleted in accordance with our data retention policies.

11. Disclaimers

RetailGrid is provided on an "as-is" and "as-available" basis.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:
Accuracy of data or analytics;
That the service will be uninterrupted or error-free;
That AI features will produce desired results.

12. Limitation of Liability
To the fullest extent permitted by law:
RetailGrid is not liable for indirect, incidental, or consequential damages;
RetailGrid’s aggregate liability will not exceed the amount paid in the 12 months prior to the claim.
Some jurisdictions may not allow the limitation of liability—those provisions apply only to the extent permitted.

13. Indemnification
You agree to indemnify and hold RetailGrid harmless from any claims arising from:
Your use of the Service;
Your violation of these Terms;
Your infringement of any third-party rights.

14. Modifications
We may modify these Terms at any time.
If changes are material, we will notify you via email or in-app notice. Continued use of RetailGrid constitutes acceptance of updated Terms.
